1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Vetting Vault ("Company," "we," "us," or "our") concerning your access to and use of the Vetting Vault platform and services (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service.

2. Description of Service

Vetting Vault provides a cloud-based due diligence and deal management platform that enables:

• Creation and management of deal rooms for M&A transactions
• Document collection, storage, and sharing
• Request list management and tracking
• Team collaboration and communication tools
• Integration with third-party services
• Related features and functionality as we may offer from time to time

3. Account Registration and Security

3.1 Account Creation

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your account
• Immediately notify us of any unauthorized use of your account

3.2 Account Restrictions

You may not use another person's account without permission. You must be at least 18 years old to use the Service. Accounts registered by bots or automated methods are not permitted.

4. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Upload or transmit viruses, malware, or other harmful code
• Engage in any activity that disrupts or interferes with the Service
• Attempt to gain unauthorized access to any portion of the Service
• Harvest or collect information about other users without consent
• Use the Service for any illegal or unauthorized purpose
• Circumvent any security features or access restrictions
• Resell or redistribute the Service without authorization
• Impersonate any person or entity

5. User Content

5.1 Your Content

You retain ownership of all content you upload, submit, or display through the Service ("User Content"). By uploading User Content, you grant us a limited license to:

• Store, process, and display your User Content as necessary to provide the Service
• Share your User Content with other users as directed by you
• Create backups and archives for disaster recovery purposes

5.2 Content Responsibilities

You are solely responsible for your User Content and represent that:

• You have all necessary rights to upload and share the User Content
• Your User Content does not violate any laws or third-party rights
• Your User Content does not contain confidential information you're not authorized to share

5.3 Content Removal

We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable, though we have no obligation to monitor User Content.

6. Subscription and Payment Terms

6.1 Free and Paid Services

The Service offers both free and paid features. Free users can explore with a sample deal and participate in deals as contributors. Creating and administering deals requires a paid subscription.

6.2 Subscription Terms

• Subscriptions are billed in advance on a monthly or annual basis
• Subscription fees are non-refundable except as required by law
• You authorize us to charge your payment method for recurring fees
• We may change subscription fees upon 30 days' notice

6.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will continue to have access to paid features until the end of your billing period.

7. Intellectual Property Rights

7.1 Our Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Vetting Vault and its licensors. The Service is protected by copyright, trademark, and other laws.

7.2 Feedback

Any feedback, suggestions, or ideas you provide about the Service become our property and may be used without compensation or attribution to you.

8. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you agree to our collection and use of information as described in the Privacy Policy.

You acknowledge that the Service is not intended for storage of certain regulated data types (such as personal health information subject to HIPAA) unless specifically agreed to in writing.

9. Disclaimers and Limitations of Liability

9.1 Service "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 No Guarantee

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VETTING VAULT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

In no event shall our aggregate liability exceed the greater of one hundred dollars ($100) or the amount you paid us in the twelve months preceding the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless Vetting Vault and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your User Content
• Your violation of any third-party rights

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting us or using the account closure feature in your settings.

11.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms
• Failure to pay applicable fees
• At our sole discretion if we discontinue the Service

11.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. We may, but are not obligated to, delete your User Content. Provisions of these Terms that by their nature should survive termination will survive.

12. Dispute Resolution

12.1 Informal Resolution

We prefer to address your concerns without resort to formal legal proceedings. Before filing a claim against Vetting Vault, you agree to try to resolve the dispute informally by contacting us.

12.2 Arbitration

Any dispute arising from these Terms or your use of the Service will be resolved through binding arbitration, except that each party retains the right to seek injunctive or other equitable relief.

12.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive your right to participate in a class action lawsuit or class-wide arbitration.

13. General Provisions

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.

13.2 Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the Service. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

13.3 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Vetting Vault regarding the Service.

13.4 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

13.5 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

13.6 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations without restriction.
